Contracts, Compliance, and Worker Classification

A staff augmentation contract should spell out the bill rate, timesheet and approval process, replacement terms, conversion fees, notice periods, IP (Intellectual Property) assignment, and confidentiality. Worker classification. In the standard model, the contractor is a W-2 employee of the staffing firm, which carries payroll taxes, unemployment insurance, and workers' compensation. That structure exists to keep misclassification risk off your books. If a provider proposes routing people to you as independent 1099 contractors, understand who holds the classification risk, because in an audit it is usually the company benefiting from the work.
Co-employment. You direct the day-to-day work while the staffing firm remains the employer. Keep it that way in practice: run performance conversations about the work through the provider, and leave compensation, leave, and HR matters to them. Clean boundaries protect both sides.
